These Terms of Service("Terms") govern your access to and use of the website atgocapslock.com and the products, applications, and services offered by CapsLockHoldings LLC, a Delaware limited liability company ("CapsLock,""we," "us," or "our") (collectively, the"Services"). By accessing or using the Services, you agree to bebound by these Terms and by our Privacy Policy. If you do not agree, do not usethe Services.
If you use the Services onbehalf of an organization, you represent that you are authorized to bind thatorganization to these Terms, and "you" refers to that organization.
Where you and CapsLock haveentered into a separate written services agreement, master subscriptionagreement, or order form (a "Master Agreement"), that MasterAgreement governs and controls over these Terms to the extent of any conflict.
CapsLock providesinvestor-relations and fundraising-support technology and services to privatefund managers and their teams, which may include software applications, datatools, and related professional services. We may modify, add, or discontinuefeatures of the Services at any time. We will use reasonable efforts to notifyyou of material changes.
The Services and any contentprovided through them are for informational and operational support purposesand do not constitute investment advice, legal advice, tax advice, or arecommendation to buy, sell, or hold any security or interest in any fund. Useof the Services does not create a broker-dealer, investment-adviser, fiduciary,or similar relationship except as expressly set out in a separate writtenagreement.
• You must provide accurate account information and keepit current.
• You are responsible for safeguarding your credentialsand for all activity under your account.
• The Services are intended for business use byprofessionals; they are not intended for consumers or for individuals under 18.
• You must notify us promptly of any unauthorized use ofyour account.
The Services may allow you toconnect third-party accounts (such as Google or Gmail, calendar, meeting, CRM,or messaging services) to enable functionality. By connecting a third-partyaccount:
• You represent that you have the right and any necessaryauthority and consents to connect that account, including any organizationalaccounts, and to allow CapsLock to access and process the associated data forthe purposes described in our Privacy Policy.
• Your use of third-party services remains subject tothose third parties' own terms and policies.
• You may disconnect connected accounts as described inthe Services and in our Privacy Policy.
• Our access to and use of data from connected Googleaccounts is governed by our Privacy Policy and complies with the Google APIServices User Data Policy, including its Limited Use requirements.
You agree not to:
• use the Services in violation of any law or regulation;
• access or attempt to access data you are not authorizedto access;
• interfere with or disrupt the integrity or performanceof the Services;
• reverse engineer, decompile, or attempt to extractsource code, except as permitted by law;
• use the Services to transmit malware or engage inunauthorized data collection;
• misrepresent your identity or authority; or
• use the Services to infringe others' rights.
We may suspend or terminateaccess for violations.
• Your data. As between you and CapsLock, you oryour organization retain ownership of the data you provide or that we access onyour behalf ("Customer Data"). You grant CapsLock a limited licenseto process Customer Data solely to provide and improve the Services and asdescribed in our Privacy Policy and applicable Master Agreement or DPA.
• Our intellectual property. CapsLock and itslicensors own all rights in the Services, including software, designs, andcontent, excluding Customer Data and third-party materials. We grant you alimited, non-exclusive, non-transferable, revocable right to use the Servicesper these Terms.
• Feedback. If you provide feedback orsuggestions, you grant us a perpetual, royalty-free license to use them withoutrestriction.
• Aggregated and de-identified data. Anyaggregated or de-identified data we derive from Customer Data is handledconsistently with our Privacy Policy, our DPA, and, for data sourced fromGoogle APIs, the Google API Services User Data Policy and its Limited Userequirements.
Fees for paid Services are setout in the applicable Master Agreement or order form. Unless stated otherwise,fees are billed in advance, are non-refundable except as required by law, andare exclusive of taxes, which are your responsibility. We may suspend Servicesfor non-payment after reasonable notice.
Each party may have access tothe other's confidential information. The receiving party will protect it withreasonable care, use it only to perform under these Terms, and not disclose itexcept to those with a need to know who are bound by similar obligations, or asrequired by law.
The Services are provided"as is" and "as available" without warranties of any kind,whether express, implied, or statutory, including implied warranties ofmerchantability, fitness for a particular purpose, title, and non-infringement.We do not warrant that the Services will be uninterrupted, error-free, orsecure, or that any outputs, including detected tasks, summaries, or derivedinsights, will be accurate or complete. You are responsible for reviewing andvalidating all outputs before relying on them.
To the maximum extent permittedby law, CapsLock and its affiliates will not be liable for any indirect,incidental, special, consequential, or punitive damages, or for lost profits,revenues, data, or goodwill, arising from or related to the Services. CapsLock'stotal aggregate liability arising from or related to these Terms or theServices will not exceed the amounts paid by you to CapsLock in the twelvemonths preceding the claim.
You agree to indemnify and holdharmless CapsLock and its affiliates from claims, damages, and expenses arisingfrom your use of the Services, your violation of these Terms, your violation ofany law or third-party right, or your representations regarding authority toconnect third-party accounts and data.
These Terms apply while you usethe Services. You may stop using the Services at any time. We may suspend orterminate your access for breach, legal requirements, or risk to the Servicesor others. Upon termination, your right to use the Services ceases; provisionsthat by their nature should survive, such as ownership, confidentiality,disclaimers, liability limits, and indemnification, survive. Data handling ontermination is addressed in our Privacy Policy and any applicable MasterAgreement or DPA.
These Terms are governed by thelaws of the State of California, without regard to conflict-of-laws rules. Thestate and federal courts located in Los Angeles County, California will haveexclusive jurisdiction over any dispute arising from or related to these Termsor the Services, and you consent to their jurisdiction and venue.
We may update these Terms fromtime to time. We will post the updated version with a revised "Lastupdated" date and, where required, provide additional notice. Continueduse after changes take effect constitutes acceptance.
• Entire agreement: These Terms, with the PrivacyPolicy and any Master Agreement or DPA, are the entire agreement regarding theServices.
• Severability: If any provision is unenforceable,the rest remains in effect.
• No waiver: Failure to enforce a provision is nota waiver.
• Assignment: You may not assign these Termswithout our consent; we may assign in connection with a merger, acquisition, orasset sale.
• Force majeure: Neither party is liable fordelays caused by events beyond reasonable control.
